CERTIFIED TRUE COPY OF THE RESOLUTION PASSED AT THE MEETING OF THE BOARD OF DIRECTORS OF [Name of Company], HELD ON [Date], AT [Address].

The Director Mr./Mrs. [Name of Director], informs to the board that some expenses are incurred by the promoters before and at the time of registration/incorporation of the company. As these expenses are incurred on behalf of the company, same are required to be reimbursed to the promoters. A complete statement of all pre-incorporation expenses incurred by the promoters is placed before the board.
